1. Agreement to Terms

By accessing or using ReRoot (“the Platform,” “we,” “us,” or “our”) at reroot.app, you agree to be bound by these Terms of Use. If you do not agree, do not use the Platform.

ReRoot is operated by ReRoot Inc., a company incorporated in the State of Illinois, United States.

2. Description of the Platform

ReRoot is an online directory and promotional platform that connects users seeking professional services with multilingual service providers.

ReRoot helps users discover professionals based on factors such as profession, language, and location, including through search, community, and map-based features.

ReRoot's role is limited to helping users discover, contact, and connect with providers. ReRoot does not perform, supervise, employ, endorse, or guarantee the services of any listed provider.

3. No Professional Advice

ReRoot is a directory and promotional platform only. Nothing on the Platform constitutes legal, medical, financial, psychological, or any other form of professional advice.

Finding or contacting a provider through ReRoot does not establish a professional relationship between you and ReRoot. Any reliance on information found through the Platform is solely at your own risk.

4. Accuracy Disclaimer

ReRoot does not independently verify, monitor, or guarantee the accuracy of information submitted by providers, including their listed languages, credentials, licenses, qualifications, availability, or location, unless ReRoot expressly states otherwise.

Provider profiles are primarily self-reported and may be incomplete, outdated, or inaccurate. Users are responsible for independently verifying a provider's qualifications, licenses, credentials, and suitability before engaging their services.

5. Assumption of Risk; Provider Responsibility for Capability

ReRoot operates solely as a directory and promotional platform that connects users with independent, third-party service providers.

ReRoot does not perform, direct, supervise, or control any service performed by a provider and does not guarantee the quality, safety, legality, timeliness, or outcome of any service.

Each provider is solely responsible for determining, in their own judgment, whether they are qualified, licensed, competent, and linguistically capable of performing a requested service before accepting an engagement.

By listing a profession, field, or language on their profile, a provider represents that they have made this determination themselves.

Unless expressly stated otherwise, ReRoot does not test, certify, or independently verify language proficiency, professional competency, licensing, credentials, or capability.

By using the Platform to locate, contact, or engage a provider, you acknowledge and agree that:

  • Any interaction, communication, meeting, engagement, or transaction with a provider occurs at your own risk and is solely between you and the provider.
  • ReRoot is not a party to and assumes no responsibility for any agreement, engagement, service, payment, or transaction between you and a provider.
  • You release ReRoot Inc., its officers, directors, employees, and agents from claims, damages, or liabilities arising out of or related to your interactions with a provider found through the Platform, to the fullest extent permitted by law.

6. No Agency, Employment, or Partnership Relationship

Providers listed on the Platform are independent third parties.

Nothing in these Terms creates an employment, agency, joint venture, partnership, franchise, or contractor relationship between ReRoot and any provider or user.

Providers are not employees, agents, representatives, or contractors of ReRoot.

ReRoot does not control the manner, means, quality, scheduling, pricing, or other terms of a provider's services unless explicitly stated otherwise.

7. Direct Provider-Client Relationships

ReRoot facilitates discovery and introductions between users and independent service providers.

After connecting through ReRoot, providers and users are free to communicate directly, meet, enter into their own engagement agreements, establish their own terms, and conduct transactions or payments directly outside the Platform.

Providers independently determine their own pricing, engagement terms, billing practices, and methods of providing services.

ReRoot is not a party to these engagements or transactions and does not currently charge a commission or transaction fee based on services performed between users and providers.

Nothing in these Terms requires a provider or user to conduct an engagement, communication, payment, or transaction through ReRoot.

8. User Accounts

To access certain features, you must register for an account. You agree to:

  • Provide accurate and complete information, including your name, email address, phone number, location, and languages spoken.
  • Maintain the confidentiality of your password.
  • Notify us immediately of unauthorized use of your account.
  • Be responsible for all activity occurring under your account.

You must be at least 18 years old to create an account.

9. Provider Accounts

Service providers who register on the Platform agree to:

  • Provide accurate professional information, including their field, profession, languages spoken, location, phone number, and bio.
  • Ensure all credentials, licenses, and qualifications stated in their profile are truthful and current.
  • Independently confirm their capability and qualification, including language proficiency, before accepting an engagement.
  • Update their profile promptly if information changes.
  • Maintain responsibility for all communications, engagements, services, and transactions with users.

Current Pricing: Provider listings are currently offered at no cost.

ReRoot reserves the right to introduce subscription fees, promotional fees, advertising fees, or other Platform-related fees in the future. ReRoot will provide advance notice of material changes affecting existing users where appropriate.

Any future Platform fees do not give ReRoot an ownership interest in, or make ReRoot a party to, the independent professional relationship between a provider and client unless expressly stated otherwise.

10. Profile and Account Verification

ReRoot may display verification indicators, badges, or similar designations on certain accounts or profiles.

Unless expressly stated otherwise, a verification indicator means only that ReRoot has completed the specific account or profile verification process associated with that indicator.

A verification indicator does not mean that ReRoot has independently verified or endorsed a provider's professional license, credentials, qualifications, competency, language proficiency, quality of services, or suitability for a particular engagement.

Users remain responsible for independently evaluating and verifying providers before engaging their services.

11. Messaging and Communications

The Platform may allow users and providers to communicate directly.

By using messaging features, you agree to:

  • Use messaging for legitimate inquiries and communications.
  • Not send spam, abusive messages, or unauthorized bulk communications.
  • Not harass, threaten, or abuse other users or providers.
  • Not use messaging for fraudulent or unlawful purposes.
  • Not share sensitive financial or account information through the Platform messaging system.

Providers and users may exchange contact information and continue legitimate professional communications outside ReRoot.

ReRoot reserves the right to monitor, review, and remove messages that violate these Terms and to suspend accounts engaged in prohibited communications.

SMS and Phone Communications

By providing your phone number and opting in where prompted, you consent to receive text messages and phone calls from ReRoot related to your account and Platform notifications and, if introduced in the future, promotional messages, in accordance with applicable law.

Message and data rates may apply.

You may opt out of non-essential SMS communications at any time by replying STOP or contacting connect@reroot.app.

Consent to receive SMS communications is not a condition of using the Platform.

12. Reporting Users, Providers, or Content

The Platform provides a reporting feature allowing registered, logged-in users to flag users, providers, profiles, messages, or other content they believe violates these Terms.

Reporting is available only to users logged into an account.

When submitting a report, you may be asked to select a category describing the issue, including:

  • Harassment or hate
  • Inappropriate content
  • Scam or fraud
  • Spam
  • Something else

Report Review: ReRoot aims to review submitted reports within five (5) to seven (7) business days.

Submitting a report does not guarantee a particular outcome. ReRoot has discretion to determine what action, if any, is appropriate, including no action, a warning, content removal, account suspension, or removal.

Reporter Anonymity: Your identity as the reporter will not be disclosed to the reported user or provider. ReRoot may share limited non-identifying information when reasonably necessary to investigate a report.

Good-Faith Use: False, misleading, retaliatory, or bad-faith reports are prohibited and may result in account suspension or removal.

13. Map and Location Features

The Platform uses third-party mapping services, including Google Maps and Leaflet, to display provider locations and enable location-based discovery.

By using these features, you acknowledge that:

  • Location data may be processed by third-party mapping providers according to their respective terms and privacy policies.
  • ReRoot does not guarantee the accuracy of map data or location results.
  • Provider location information is self-reported and may not reflect current or precise locations.

14. Prohibited Conduct

You agree not to:

  • Post false, misleading, or fraudulent information.
  • Impersonate another person or entity.
  • Use the Platform for unlawful purposes.
  • Harass, abuse, threaten, or harm users or providers.
  • Submit false, misleading, retaliatory, or bad-faith reports.
  • Scrape, crawl, copy, harvest, or extract Platform data without ReRoot's written permission.
  • Attempt to gain unauthorized access to any part of the Platform.
  • Use the Platform to engage in fraud, spam, scams, or other abusive conduct.
  • Misrepresent your relationship with ReRoot or claim that ReRoot endorses, employs, licenses, or certifies you unless expressly authorized by ReRoot.

For clarity, communicating or conducting an independent professional engagement directly between a user and provider after connecting through ReRoot does not, by itself, violate these Terms.

15. Account Suspension and Removal

ReRoot reserves the right to suspend, deactivate, or permanently remove an account or profile, with or without notice, for reasons including:

  • Violation of these Terms.
  • Submission of false, misleading, or fraudulent information.
  • Profiles appearing inactive, abandoned, or unresponsive for an extended period.
  • Duplicate profiles or profiles created through unauthorized automated means.
  • Conduct harmful to users, providers, or the Platform.
  • Substantiated reports indicating a violation of these Terms.

Removed providers will no longer appear in Platform search results or on the map.

16. User Disputes

ReRoot has no obligation to become involved in, mediate, or resolve disputes between users and providers, including disputes concerning service quality, pricing, scheduling, payment, professional conduct, or the terms of an engagement.

Users and providers are encouraged to resolve such disputes directly.

ReRoot may, at its discretion, remove a provider's profile or suspend an account based on reports or violations of these Terms, but doing so does not constitute an admission of fault or responsibility by ReRoot.

17. Intellectual Property

All Platform content, including text, graphics, logos, design elements, and software, is the property of ReRoot Inc. or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, or create derivative works from ReRoot-owned content without written consent.

By submitting content to the Platform, including profile information, photographs, biographies, professional information, and other materials, you grant ReRoot a non-exclusive, worldwide, royalty-free license to display and use that content in connection with operating and promoting the Platform, including promoting provider profiles through ReRoot's social media channels and other marketing materials.

Copyright Complaints (DMCA)

If you believe Platform content infringes your copyright, send a notice to connect@reroot.app including:

  • Identification of the copyrighted work.
  • Identification and location of the allegedly infringing material.
  • Your contact information.
  • A statement of good-faith belief that the use is unauthorized.
  • A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner.
  • Your physical or electronic signature.

ReRoot will respond to properly submitted notices in accordance with applicable copyright law.

18. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, INFORMATION, AND PROVIDER LISTINGS MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

REROOT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PROVIDER LISTED ON THE PLATFORM IS QUALIFIED, LICENSED, OR CAPABLE OF PERFORMING ANY SERVICE.

19. Limitation of Liability

To the fullest extent permitted by applicable law, ReRoot Inc., its officers, directors, employees, and agents shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, interactions with providers, or services obtained through the Platform.

To the fullest extent permitted by applicable law, ReRoot's total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed one hundred U.S. dollars ($100.00).

20. Indemnification

You agree to indemnify and hold harmless ReRoot Inc. and its affiliates, officers, directors, and employees from claims, damages, losses, or expenses, including reasonable attorneys' fees, arising from your use of the Platform, your content, your interactions or transactions with another user or provider, or your violation of these Terms.

21. Termination

ReRoot reserves the right to suspend or terminate an account at any time, with or without notice, for conduct ReRoot reasonably believes violates these Terms or is harmful to users, providers, or the Platform.

22. Dispute Resolution; Arbitration Agreement; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Agreement to Arbitrate

You and ReRoot agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform will be resolved through binding individual arbitration rather than in court, except that either party may bring an individual claim in small claims court if it qualifies.

Class Action Waiver

You and ReRoot agree that arbitration or other proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims.

Arbitration Procedure

Arbitration will be administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules.

ReRoot will pay AAA filing fees for claims under $10,000 brought by users, except where the arbitrator determines a claim is frivolous.

Arbitration will take place in Cook County, Illinois, another mutually agreed location, or remotely or by phone where permitted.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to connect@reroot.app within 30 days of first accepting these Terms, including your name and a clear statement that you intend to opt out of arbitration.

If you opt out, disputes will be resolved in the courts described in the Governing Law section.

Jury Trial Waiver

You and ReRoot waive any right to a jury trial for disputes resolved through arbitration or in court, to the fullest extent permitted by law.

23. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.

To the extent a dispute is not subject to arbitration, including where a user validly opts out, the dispute shall be resolved exclusively in the courts located in Cook County, Illinois, and you consent to the personal jurisdiction of those courts.

24. Force Majeure

ReRoot will not be liable for failure or delay in performance resulting from circumstances beyond its reasonable control, including natural disasters, acts of government, internet or utility failures, labor disputes, or other events of force majeure.

25. Assignment

You may not assign or transfer these Terms or rights under them without ReRoot's prior written consent.

ReRoot may assign these Terms, in whole or in part, including in connection with a merger, acquisition, restructuring, or sale of assets.

26. Severability

If any provision of these Terms is found unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

27. Entire Agreement; No Waiver

These Terms constitute the entire agreement between you and ReRoot regarding your use of the Platform and supersede prior agreements or understandings regarding that use.

ReRoot's failure to enforce a right or provision will not constitute a waiver of that right or provision.

28. Changes to These Terms

ReRoot may update these Terms from time to time.

Updated Terms will be posted on the Platform with a revised “Last Updated” date. Where required by applicable law, ReRoot will provide additional notice of material changes.

Your continued use of the Platform after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
